I love playing Warhammer 40k, both the setting and the gameplay. I've always wanted to make an rpg out of it using the pre-existing tabletop rules and gameplay as modified army stats allowing players to buy and control a single model instead of just using standard rpg systems like Dark Heresy or Deathwatch that follow more of the DnD conventions.

Without nailing down the exact amount of points in character progression the basics would be as such...

1) You choose a chapter for your marine (or other race if you can rationalize a temporary alliance between humans and orcs, eldar, or whatever), such as Ultramarines/codex, Dark Templar, Space Wolves, Blood Angels, etc. It likely that all players would be from the same chapter, but not absolutely necessary.

2) You have a specific amount of starting points at level 1 to choose a model. Lets say 20 points (This should provide enough to choose a basic model from most chapters).
Ideally, your model will have an average attribute array of WS 4, BS 4, S 4, T 4, W 1, I 4, A 1, Ld 8, but individual results may vary. If you buy a cheap enough model, you may even be able to afford a weapon upgrade or other wargear option.
Leveling depends on the amount points the players acquire from mission objectives, and how many points worth of enemy models they killed/destroyed/ran down.
Leveling up provides an increase to the pool of points you can spend on upgrading or equiping your models (possibly even spending points on other models to make your character a combat squad in the vein of Dawn of War 2, instead of simply maximizing wargear), as well as an increase to a random attribute each level.
The attributes are found by rolling a d2 (1-3 or 4-6 on a d6) to decide if the attribute is found by table 1 or table 2 (40k uses the d6 exclusively, so tables will have to come in sixes).

Table 2: 1-W, 2-I, 3-A, 4-Ld, 5-6-player's choice.
If you get the same bonus 2 levels in a row, then re-roll.
This allows you to start with a low level grunt, and end up with a legendary Independent Character that any Primarch would be proud to fight alongside.
The stat increases can be dropped if you don't want to end up with epic level heroes running around, as the point increases should be more than enough to fully kit out a chapter master and bodyguard at high levels.
Interestingly, there need not be any level cap here, save for the player's main character progressing until he gets 10's in all stats. These point totals should ideally work out such that you can eventually field a small army list and blend the campaign back into standard tabletop play (albeit with a unique character added to your choices). I could see going up to about 250-300 points before you have to break out of the single model/combat squad army list.

3) Begin the campaign. The WaghhBoss (Warmaster/DM) can base the enemy's army list for an encounter based on your squad's total point value directly with some variation depending on challenge, or can add npc ally squads for higher point value games. In this way you can easily adapt between campaign settings where a small group of survivors has to fight their way through the Eye of Terror with no support in order to get home, or the players are part of a large Space Marine company or battlefleet where they interact with and support other units.

When you have no wounds remaining, you are dying. Not dead, not unconsious, and most certainly not out of the fight. You move at half speed, have a maximum of 1 attack, strike at initiative 1, and count as having gone to ground, until you can be revived by appropriate means. If all party members reach this state and aren't rescued then the party dies.

A player's main model/character counts as an Independent Character unless it is a Monstrous creature or some other bloody thing, and can join allied units. If the player's character is of equivalent or higher "rank" than the sergeant or IC already attached to the unit, then an opposed Ld check may be made to assume command of the unit.

I'll try and add more to this. Feel free to make suggestions or bring up things you see that could use improvement.

Unit coherency rules:

Player Characters count as Independent Characters in most circumstances.
They may combine into a squad. If they do not form a squad, they may still ignore the 1" minimum distance between their personal models.

As long as models are within 2" of each other, they may count as a single unit with respect to any abilities they may have that provide a bonus to a unit. This does not force them to be counted as a single unit for hostile attacks directed against them.

Player models may always occupy the same vehicle, provided that there is enough room and the model would not be prevented from using that transportation. For example, a Terminator model or Assault Marine(w/ jump pack) could not join his tactical marine compatriot inside a Rhino or Razorback transport as the armor or extra equipment is too bulky.
